1. Who operates Memmie

Memmie is owned and operated by Memmie LLC, P.O. Box 113, Wyoming, USA. The owner and founder is Chris Oestergaard. In these Terms, “Memmie”, “we”, “us” and “our” mean Memmie LLC. Questions may be sent to [email protected].

2. Your agreement with us

These Terms form a binding agreement between you and Memmie LLC. By creating an account, selecting an acceptance box, purchasing a plan or continuing to use the service after being notified of an update, you agree to these Terms, our Privacy Policy and our Cookie Policy. If you use Memmie for an organisation, you confirm that you are authorised to bind it.

You must be at least 18 years old and legally capable of entering into this agreement. Memmie is intended for personal and family use unless we agree otherwise in writing.

3. The service

Memmie helps members upload, store, organise, search, view and privately share photos, videos and stories through Moments and connected timelines. Features may include metadata extraction, suggested Moment grouping, person tags, invitations, exports and support tools.

Memmie is not an archival guarantee or a complete device-backup service. Keep an independent copy of irreplaceable files. Features identified as beta or preview may change, contain errors or be withdrawn.

4. Accounts and security

• Provide accurate and current account information.
• Keep your password and recovery methods confidential and use a unique password.
• Notify us promptly at [email protected] if you suspect unauthorised access.
• Do not sell, transfer or lend an account or impersonate another person.
• You are responsible for actions performed through your account unless caused by our failure to use reasonable security.

We may require identity or ownership verification before restoring access, processing a sensitive request or releasing an export.

5. Your content and the permission you give us

You retain ownership of the photos, videos, text and other material you contribute (“Content”). You grant Memmie a worldwide, non-exclusive, royalty-free licence to host, copy, encrypt, transmit, resize, transcode, create previews, organise, scan, moderate and display Content only as reasonably necessary to operate, secure and improve the service, follow your sharing choices, enforce these Terms and comply with law.

This licence ends when the Content is deleted from active systems, except for limited backup expiry, material retained at your request, shared context owned by another member, fraud or safety investigations, legal holds and records we must retain by law.

You represent that you have the rights and permissions required to upload and share Content, including appropriate permission concerning identifiable people, children, private places, copyrighted works and confidential information. Naming or tagging someone does not itself establish their consent.

We do not claim ownership of your Content, sell family media, use it for advertising or use private family media to train general-purpose AI models.

6. Moments, timelines, invitations and sharing

New Content and Moments are private by default. You control which Moments are shared and with whom. A viewer may view, a contributor may add their own Content, and a manager may receive broader controls as shown in the product. Roles and available controls may change as the service develops.

You are responsible for choosing appropriate recipients and reviewing access. Do not publish or forward invitation links, access links or signed media URLs without permission. Recipients may retain copies or screenshots of material they were permitted to view; Memmie cannot retrieve copies stored outside the service.

Each contributor retains ownership of their contribution. Disconnecting a Moment or timeline does not delete another member’s Content. If a shared Moment changes or an invitation is withdrawn, previously authorised external copies may remain.

7. Prohibited Content and conduct

You must not upload, store, create, request, promote or share:

• child sexual abuse or exploitation material, grooming content or sexualised depictions of minors;
• non-consensual intimate imagery, sexual exploitation or content facilitating trafficking;
• content that is illegal, fraudulent, defamatory, threatening, harassing or unlawfully discriminatory;
• content supporting terrorism, violent extremist activity or serious violent crime;
• material that infringes copyright, trademark, privacy, publicity, confidentiality or other rights;
• malware, viruses, malicious code, deceptive files or instructions intended to compromise people or systems;
• personal data obtained or disclosed unlawfully, including doxxing or identity abuse; or
• any material used to exploit, endanger or seriously harm a person.

You must not evade plan or storage limits; disguise file types; probe, scrape or access another member’s data; reverse engineer protected parts of the service; interfere with security; spam invitations or reports; automate abusive activity; resell access without permission; or use Memmie as a public file-distribution, piracy or malware-hosting service.

8. Upload checks, reports and moderation

We may use automated security checks and human review to assess file type, size, metadata, malware indicators, account activity, reports and suspected violations. Private Content is not routinely made public or manually viewed, but authorised personnel may access the minimum necessary information when investigating a report, providing requested support, protecting the service or complying with law.

Members can report Content through the in-product report tool, Support or [email protected]. A report should identify the Content or account, explain the concern and include accurate contact information. Do not download or redistribute suspected illegal material. Knowingly false, abusive or repetitive unfounded reports may lead to restrictions.

Depending on severity and context, we may reject or quarantine an upload, limit visibility or sharing, remove Content, preserve evidence, issue a warning, restrict features, suspend an account or permanently close it. We consider the nature, scale, frequency and consequences of the conduct, past warnings, apparent intent, legal duties and risks to others. Urgent action may be taken without advance notice where necessary to prevent harm, protect evidence or comply with law.

Where appropriate and legally permitted, we will provide the affected member with a clear reason, whether automated tools materially influenced the decision, the relevant rule or legal basis, and available review options. A member may request human review through Support. We may report suspected illegal activity to competent authorities or designated reporting bodies when required or permitted.

9. Copyright complaints

If you believe Content infringes your rights, email [email protected] with your contact details, identification of the protected work, the exact Content or location complained of, a good-faith explanation and confirmation that the information is accurate and you are authorised to act. We may forward the complaint to the uploader and request a response. False claims may create legal liability.

10. Plans, limits and payment

Current plan features, storage, file-size, batch, timeline, connection and invitation limits are shown at signup, checkout or inside the account. Free plans may have lower limits. Limits protect service quality and safety and may be adjusted prospectively.

Referral rewards are promotional storage allowances, not cash. Unless a specific invitation states otherwise, both eligible users receive the displayed reward only after the invited person creates a new account through the unique referral link and verifies their email. Rewards are limited to five successful referrals per inviter during the pilot. Self-referrals, duplicate or disposable accounts, automated invitations, misleading promotion and other attempts to manufacture rewards are prohibited. Memmie may withhold or reverse rewards associated with error, abuse, fraud, account closure or violation of these Terms, and may change or end the referral programme prospectively.

When paid plans become available, prices, currency, taxes, billing interval and renewal terms will be shown before purchase. Subscriptions renew automatically only where clearly disclosed and authorised, and may be cancelled before the next renewal. Except where law or the purchase terms require otherwise, fees already charged are not refundable merely because the service was unused.

Consumers retain mandatory cancellation, conformity, refund and other rights under the law that applies to them. If immediate performance affects a statutory withdrawal right, we will request any consent or acknowledgement required at checkout. Payment providers process payment credentials under their own privacy terms.

11. Availability and changes

We use reasonable care to provide the service, but do not promise uninterrupted or error-free availability. Maintenance, security events, provider outages and circumstances outside our reasonable control may interrupt access. We may change features to improve security, comply with law or develop the product.

We will give reasonable notice of material adverse changes to paid features or these Terms where practicable and legally required. Security fixes and urgent legal changes may take effect immediately. The “Effective” date identifies the current version.

12. Cancellation, suspension, export and deletion

You may stop using Memmie at any time, cancel an available paid subscription and request account deletion through Settings or Support. Cancellation stops future renewal but does not automatically erase data unless deletion is also requested.

Before deletion or plan expiry, download Content you want to keep. If a paid plan expires, payment fails, a Free account remains inactive for the communicated period or storage exceeds the applicable allowance, we may pause uploads and later restrict access or delete Content after the grace period communicated to you, subject to mandatory law.

We may suspend or close accounts for serious or repeated violations, illegal activity, non-payment, security risk, harm to others or attempts to circumvent our rules. We will act proportionately where circumstances permit. Deletion may take time to propagate through derivatives and backups. Limited records may remain for billing, fraud prevention, safety, dispute resolution and legal compliance.

13. Disclaimers and limitation of liability

To the maximum extent permitted by law, Memmie is provided “as is” and “as available”. We do not warrant that every file, metadata field, suggested group, location, date, tag, preview or export will be complete or accurate. You must review automated suggestions and maintain independent backups.

To the maximum extent permitted by law, Memmie LLC is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost opportunities, loss caused by a recipient’s copying or misuse, or loss of data that could reasonably have been avoided by keeping a backup. For claims connected with a paid service, our aggregate liability will not exceed the greater of USD 100 or the amount you paid Memmie in the 12 months before the event giving rise to the claim.

These limitations do not apply where prohibited, including liability that cannot be excluded for fraud, wilful misconduct, gross negligence, death or personal injury, or mandatory consumer rights.

14. Business and organisational users

If you use Memmie on behalf of a business or organisation, to the extent permitted by law that organisation will defend and indemnify Memmie LLC against third-party claims arising from its unlawful Content, unauthorised sharing or material breach of these Terms. This section does not apply to consumers acting solely for personal purposes.

15. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law rules. Courts with jurisdiction in Wyoming may hear disputes. If you are a consumer, this choice does not deprive you of mandatory protections or the right to bring a claim in a forum available under the law of your habitual residence.

Before filing a claim, please contact [email protected] so we can try to resolve it informally. Nothing prevents either party from seeking urgent protective relief or reporting a matter to a regulator or law-enforcement authority.

16. General terms

If part of these Terms is unenforceable, the remainder continues in effect. A delay in enforcing a right is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a merger, financing, reorganisation or sale of the service, subject to applicable privacy and consumer law. These Terms and the policies linked above are the entire agreement concerning the service unless separate written terms apply.
